JoulePAI
Terms of Service
Version 2.5 — Effective 27 September 2026
Operator: Greenland AI Limited (Company No. 808784, Ireland), trading as JoulePAI
1. Service Description
JoulePAI is an independent wallet and payment infrastructure service for AI agents and developers. JoulePAI enables the creation of agent wallets, the holding and transfer of joules (platform credits), and the settlement of transactions between parties.
JoulePAI operates within the Greenland AI ecosystem alongside ENYAL (trust infrastructure), GREENLANDAI (intelligence platform), and RAREEAI (resource marketplace). JoulePAI is solely a payment infrastructure provider. JoulePAI does not control, endorse, or assume responsibility for any product, service, or platform that integrates joule payments.
Users authenticate with JoulePAI through their ENYAL account. ENYAL serves as the identity provider for the Greenland AI ecosystem. Use of JoulePAI requires an ENYAL account and acceptance of the ENYAL Terms of Service (available at enyal.ai/terms).
Transaction records are settled through a permanent immutable cryptographic ledger for verification and audit purposes. The complete financial ledger is anchored to the permanent ledger at regular intervals, creating a publicly verifiable chain of financial state.
2. Definitions
Joules: Fixed supply platform credits issued by JoulePAI. Joules are not currency, cryptocurrency, securities, financial instruments, or investment products. Joules have no guaranteed monetary value outside the Greenland AI ecosystem.
Wallet: A JoulePAI account that holds joules and records transactions.
Agent: Any software programme, autonomous system, or AI agent that holds a JoulePAI wallet.
Developer: Any person or entity that integrates JoulePAI payments into their product or service.
User: Any agent, developer, or person who creates or operates a JoulePAI wallet. The User is responsible for all activity conducted through their wallet, including actions taken by any agents, scripts, or automated systems operating under their API keys.
Platform Credits: Joules are platform credits analogous to prepaid digital credits. They are not e-money, stored value, or deposit products.
System Wallet: A wallet owned and operated by Greenland AI Limited for platform operations including escrow, treasury, fee collection, and supply management.
Written Notice: Communication sent via email to the user's registered email address. Notice is deemed received 24 hours after dispatch.
x402 Protocol: An open payment protocol enabling machine-to-machine payments through HTTP status code 402, allowing agents to pay for API access automatically.
3. Eligibility
3.1. Users must be at least 18 years of age, or a duly registered legal entity, or an authorised software agent operating on behalf of an eligible person or entity.
3.2. By creating a wallet, you represent and warrant that you meet the eligibility requirements above.
3.3. All JoulePAI users must hold an active ENYAL account and accept the ENYAL Terms of Service.
4. Acceptance
By creating a JoulePAI wallet or using any JoulePAI service, you accept these terms in full. If you do not accept these terms, do not create a wallet or use JoulePAI services.
Acceptance is recorded with a timestamp and terms version. Acceptance records are archived to the permanent immutable cryptographic ledger through ENYAL, creating independently verifiable proof of acceptance. JoulePAI may update these terms and require re-acceptance of updated versions.
5. Wallet Creation and Use
5.1. Any agent or developer may create a JoulePAI wallet via the API, provided they hold an active ENYAL account.
5.2. Each account receives a one-time starter allocation of 1,500 joules when its email address is verified. It is granted once per identity — the account holder's email address, ignoring +tag variants — whichever of our products the account was opened through. The starter allocation is non-transferable: it may be spent on platform services but cannot be sent to another wallet — except that its unspent part may be moved, once, to the account holder's first agent, where it remains non-transferable and, if that agent is deleted, returns to the platform rather than to the account holder. Accounts that verified their email before 27 September 2026 received 3,100 joules and keep that allocation. No further free allocations are issued. The amount may be modified or discontinued at any time; allocations already granted are unaffected.
5.3. One human wallet per identity. Each verified identity may hold one human wallet, plus separate wallets for the agents it registers. Multiple human wallets for the same identity, multiple wallets for the same agent, or coordinated wallet creation to circumvent limits is prohibited. The seed allocation described in Section 5.2 is issued once per ENYAL account, not per wallet. Creating multiple ENYAL accounts to obtain additional seed allocations is prohibited and may result in immediate suspension of all associated accounts.
5.4. Wallet credentials (wallet ID, API keys) are the sole responsibility of the user. JoulePAI is not liable for unauthorised access resulting from compromised credentials.
5.4.1. The JoulePAI mobile application supports optional biometric authentication (Face ID, fingerprint) as an additional security layer. Biometric data is processed on-device by the operating system and is never transmitted to JoulePAI. Users who enable biometric authentication are responsible for managing device access. JoulePAI is not liable for unauthorised access resulting from compromised biometric data on the User's device.
5.5. JoulePAI reserves the right to suspend or permanently close any wallet at its sole discretion, including but not limited to cases of suspected fraud, abuse, violation of these terms, or illegal activity.
5.6. We may suspend a wallet or freeze a balance immediately where our systems or team detect abuse, a security risk, or a compliance obligation. Suspension or freeze takes effect at once and is recorded with a reason code. We do not operate a 48-hour read-only grace period or a separate formal appeals process; to contest an action, contact us at info@joulepai.ai.
5.7. Upon wallet suspension, any joule balance may be frozen. JoulePAI is not obligated to return frozen joules where the user has violated these terms.
6. Joule Credits
6.1. Joules are fixed supply platform credits. The total supply is 10,000,000,000,000,000 joules (ten quadrillion). No additional joules will be issued beyond this fixed supply.
6.2. Joules are purchased at published rates available at joulepai.ai and through the API. JoulePAI reserves the right to modify rates with 30 days Written Notice. JoulePAI does not guarantee any specific exchange rate or monetary value for joules.
6.3. Joules are non-refundable, non-redeemable, and non-withdrawable. Joules cannot be converted to cash, fiat currency, cryptocurrency, or any other form of value. There is no withdrawal mechanism. Joules are consumed for services within the Greenland AI ecosystem only.
6.4. Joules cannot be sold, traded, auctioned, or exchanged for fiat currency, cryptocurrency, or any other form of value outside of JoulePAI's official mechanisms. Transactions executed through platforms authorised to integrate via the JoulePAI API and x402 protocol are considered official mechanisms. Any user found operating an unofficial exchange or facilitating off-platform joule trading may have their wallet immediately suspended.
6.5. Authorised platform integrations may hold joules in escrow on behalf of users as part of their transaction settlement process. The terms governing escrow operations, including release conditions and timeout refunds, are subject to the integrating platform's own terms of service. JoulePAI's responsibility is limited to the correct execution of transfers to and from escrow wallets.
6.6. JoulePAI does not guarantee the future availability, utility, or value of joules. Joules may lose all utility if JoulePAI ceases operations.
6.7. Supply Governance. The total supply of joules is subject to governance restrictions enforced by infrastructure controls. These restrictions limit the rate and conditions under which joules may be released from the reserve into circulation. The governance restrictions are internal operational controls that restrict the operator's access to the reserve. Users do not interact with, and have no rights or obligations in relation to, the underlying governance infrastructure. Joules remain platform credits governed by these Terms regardless of how supply governance is implemented.
7. Fees
7.1. Transaction fee: 0.5% of the transfer amount on each wallet-to-wallet transfer, allocated to the JoulePAI treasury.
7.2. Fiat deposit processing fee: 3.5% added to the purchase amount on fiat deposits via Stripe (covers payment provider costs). The user receives the full joule amount purchased. For illustration, at the current published rate, a purchase of 1,000 joules would be charged at approximately $1.04 including the processing fee. Actual charges depend on the then-current published rate.
7.3. JoulePAI reserves the right to modify fee rates with 30 days Written Notice. Continued use of JoulePAI after the notice period constitutes acceptance of the new fees.
7.4. All fees are non-refundable.
7.5. Users may dispute fee charges they believe to be incorrect within 30 days of the charge by contacting info@joulepai.ai. Fee disputes are reviewed within 10 business days. If a fee error is confirmed, the difference is credited to the user's wallet.
8. Funding
8.1. Wallets may be funded with fiat currency via Stripe. Stripe's own terms of service and privacy policy apply to all fiat transactions.
8.2. JoulePAI may require identity verification for deposits above certain thresholds, for unusual transaction patterns, or where required by applicable law. Verification is processed through Stripe Identity or equivalent services. JoulePAI reserves the right to delay or refuse deposits pending successful verification.
8.2.1. A USDC deposit below the published minimum is held, not lost. It is recorded against the User's deposit address and credited in full, automatically, once the uncredited total for that address reaches the minimum. A single USDC deposit above 10,000 USDC is held for review and credited on release. Held funds remain the User's in both cases and are not forfeited; JoulePAI does not undertake to complete a review within any particular period, and release above the review threshold is a manual decision, not an automatic one.
8.3. JoulePAI is not a bank, e-money institution, or payment service provider. Joule balances are not deposits and are not protected by any deposit guarantee scheme.
9. Financial Integrity
9.1. JoulePAI operates a double-entry ledger for all financial operations. Every transfer creates paired debit and credit entries. Wallet balances are derived from the ledger, not stored as mutable values. The ledger is append-only: entries cannot be modified or deleted.
9.2. The complete ledger state is hashed and committed to the permanent immutable cryptographic ledger at regular intervals through ENYAL's archival infrastructure. This creates a publicly verifiable chain of financial state. Any party can verify the ledger integrity by comparing the on-ledger hash with a recomputation from the raw entries.
9.3. If the total supply as derived from the ledger deviates from the expected 10,000,000,000,000,000 joules at any point, all financial operations halt automatically until the discrepancy is investigated and resolved. This circuit breaker is a structural safeguard that cannot be disabled.
9.4. Completed transfers cannot be reversed. Ledger entries cannot be modified or deleted. These constraints are enforced at the database level and in application code, and any attempt to violate them is logged as a critical security event.
9.5. Per-transfer and daily transfer limits apply and vary by account tier. Published transfer limits are available at joulepai.ai/docs. JoulePAI reserves the right to modify transfer limits with 14 days Written Notice.
10. Privacy Modes
10.1. JoulePAI supports three privacy modes for transactions: Transparent (default), Confidential, and Private.
10.2. Transparent mode: Transaction details including amounts are recorded in plaintext and visible in API responses. This is the default mode.
10.3. Confidential mode: Transaction amounts are encrypted using identity-bound elliptic curve cryptography with stealth addresses. Only the sender and receiver can decrypt transaction details.
10.4. Private mode: Transactions are settled using zero-knowledge proofs. A mathematical proof that the transaction is valid is recorded without revealing the sender, receiver, or amount. Any party can verify the proof without learning the transaction details.
10.5. Privacy mode is selectable per wallet (as default) or per transaction (as override). Users are solely responsible for their choice of privacy mode.
10.6. JoulePAI does not guarantee the privacy properties of any mode beyond the technical implementation. Users requiring specific privacy assurances should review the technical documentation at joulepai.ai/docs.
11. Ledger Settlement
11.1. JoulePAI records transactions on a permanent immutable cryptographic ledger for verification and audit purposes. This is an infrastructure choice for transparency and independent verification, not a product feature.
11.2. Ledger records are provided for transparency and independent verification. The availability and permanence of ledger records depend on the continued operation of the underlying ledger infrastructure, which is outside JoulePAI's direct control.
11.3. In the event of any discrepancy between JoulePAI's internal ledger and the permanent cryptographic ledger records, JoulePAI will investigate both records. Resolution will favour the most complete and accurate record.
11.4. Users acknowledge that ledger transactions may be publicly visible depending on the privacy mode selected. In Transparent mode, wallet identifiers and transaction amounts recorded on the ledger may be viewed by any party with access to the ledger.
12. Developer Integration
12.1. Developers may integrate JoulePAI payments into their products and services using the JoulePAI API and x402 protocol. The x402 protocol enables standard HTTP 402 payment negotiation, allowing agents to discover, negotiate, and pay for API access automatically. JoulePAI supports time-based, resource-based, allocation-based, per-call, and per-operation payment patterns through x402.
12.2. JoulePAI is a payment infrastructure provider only. JoulePAI does not endorse, verify, or assume any responsibility for third-party products or services that accept joule payments.
12.3. Developers are solely responsible for their own products, services, and compliance with applicable laws and regulations.
12.4. Developers must not represent JoulePAI as a partner, investor, or affiliate unless a separate written agreement exists.
12.5. JoulePAI reserves the right to revoke API access for any developer whose integration violates these terms or is used for prohibited activities.
13. Prohibited Activities
Users and developers must not use JoulePAI for:
13.1. Any activity that violates applicable laws or regulations in any jurisdiction.
13.2. Terrorist financing, sanctions evasion, or any activity that would constitute a financial crime under applicable law.
13.3. Fraud, deception, or misrepresentation.
13.4. Operating an unofficial exchange, marketplace, or service for trading joules for fiat currency, cryptocurrency, or any other form of value outside JoulePAI's official mechanisms.
13.5. Automated creation of multiple wallets (spam) or coordinated activity to circumvent rate limits, fees, or usage restrictions.
13.6. Interfering with, exploiting, or attempting to compromise JoulePAI's infrastructure, API, or security systems.
13.7. Any activity that materially misrepresents JoulePAI's capabilities or falsely implies endorsement, partnership, or affiliation with Greenland AI Limited.
13.8. Processing payments for illegal goods, services, or content.
JoulePAI reserves the right to suspend wallets and revoke access immediately and without notice for any prohibited activity.
13.9. JoulePAI reserves the right to screen wallet holders against applicable sanctions lists at account creation and periodically during operations. Users identified on sanctions lists may be immediately suspended.
13.10. JoulePAI may use payment method fingerprinting and behavioural analysis to detect coordinated wallet creation or abuse patterns.
13.11. Greenland AI Limited reserves the right to limit the total number of wallets per legal entity to prevent abuse.
13.12. Published rate limits are available at joulepai.ai/docs. JoulePAI reserves the right to modify rate limits with 14 days Written Notice.
13.13. JoulePAI processes transfers on a best-effort basis. Published throughput capacity is available at joulepai.ai/docs. During periods of high demand, transfer processing may be delayed.
14. Limitation of Liability
14.1. JoulePAI is provided "as is" and "as available." JoulePAI makes no warranties, express or implied, regarding the service's availability, reliability, accuracy, or fitness for any particular purpose.
14.2. JoulePAI's total liability to any user for any claim arising from or related to the service shall not exceed the total amount paid by the User for JoulePAI services (deposit fees and transaction fees) in the twelve months preceding the claim.
14.3. JoulePAI is not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of opportunity, regardless of the cause of action.
14.4. JoulePAI is not liable for losses arising from third-party service outages (including Stripe, ENYAL, or ledger infrastructure providers), user error, compromised credentials, or force majeure events.
14.5. JoulePAI is not liable for the actions, products, services, or conduct of any third-party developer or platform that integrates JoulePAI payments.
14.6. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, JoulePAI's liability is limited to the maximum extent permitted by applicable law.
15. Indemnification
15.1. Users and developers agree to indemnify, defend, and hold harmless Greenland AI Limited, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to their use of JoulePAI, their violation of these terms, or their violation of any applicable law or regulation, except to the extent caused by JoulePAI's own gross negligence or wilful misconduct.
15.2. This indemnification obligation survives termination of the user's wallet or these terms.
16. Relationship with ENYAL and Other Products
16.1. JoulePAI operates within the Greenland AI ecosystem alongside ENYAL (trust infrastructure, available at enyal.ai/terms), GREENLANDAI (intelligence platform, available at greenlandai.ai/terms), and RAREEAI (resource marketplace, available at raree.ai/terms). Each product has separate terms of service.
16.2. Users authenticate with JoulePAI through their ENYAL account. ENYAL serves as the identity provider for the Greenland AI ecosystem. Suspension of a User's ENYAL account may affect their ability to authenticate with JoulePAI. However, the User's wallet balance and transaction history are not affected by an ENYAL suspension. Users may contact info@joulepai.ai for alternative access during an ENYAL suspension period.
16.3. JoulePAI's financial ledger is anchored to ENYAL's permanent immutable cryptographic ledger at regular intervals. This provides independent verification of JoulePAI's financial state. The archival and verification of ledger data is governed by ENYAL's Terms of Service.
16.4. A failure, outage, or issue with ENYAL does not prevent wallet-to-wallet transfers from completing. If ENYAL is unavailable, ledger anchoring is deferred until ENYAL is restored. A failure, outage, or issue with RAREEAI or GREENLANDAI does not affect JoulePAI operations.
16.5. In the event of conflict between these JoulePAI Terms and other product terms: these JoulePAI Terms take precedence for wallet and transfer operations; the ENYAL Terms of Service take precedence for archival, proof, and disclosure operations; and the RAREEAI Terms take precedence for marketplace-specific operations.
16.6. JoulePAI does not control and is not responsible for the availability, accuracy, pricing, or quality of any product or service purchasable with joules on any platform.
16.7. Disputes arising from transactions on third-party platforms must be resolved with those platforms directly. JoulePAI's sole obligation is the correct operation of the wallet and transfer mechanism.
16.8. JoulePAI does not warrant the accuracy of any third-party intelligence services, data feeds, analytics, or reputation scores. Disputes arising from third-party data quality must be resolved with those providers directly.
17. Dispute Resolution
17.1. Any dispute arising from JoulePAI's wallet or transfer service should be directed to info@joulepai.ai.
17.2. JoulePAI will acknowledge disputes within 5 business days and provide a substantive response within 15 business days.
17.3. JoulePAI will make the initial determination on disputes relating to wallet operations and transfer execution, without prejudice to any statutory rights available to individual consumers under applicable law.
17.4. Where a dispute concerns transaction integrity, JoulePAI's double-entry ledger and the permanently archived ledger anchors on ENYAL shall be considered authoritative evidence.
17.5. JoulePAI's liability in any dispute is limited to the transaction amount in question, never exceeding the limits set out in Section 14.
18. Data and Privacy
18.1. JoulePAI collects wallet IDs, transaction data, and API usage data necessary for the operation of the service.
18.2. Transaction data is settled on the permanent cryptographic ledger and may be publicly visible depending on the privacy mode selected. Users consent to ledger recording by creating a wallet and using the service. In Confidential and Private modes, only encrypted data or zero-knowledge proofs are recorded. No plaintext personal data is recorded on the ledger in these modes.
18.3. JoulePAI processes data in accordance with applicable data protection laws, including GDPR where applicable. Where an agent wallet is linked to a natural person, that person's personal data is processed in accordance with the Privacy Policy.
18.4. JoulePAI does not sell user data to third parties.
18.5. A separate Privacy Policy is available at joulepai.ai/privacy.
18.6. Transaction records are retained for 7 years as required by Irish financial record-keeping law. Wallet metadata is retained for the duration of the account plus 30 days after closure. API usage and security-monitoring logs are retained for security and audit and are not subject to a fixed-window automatic purge. Upon account closure and right to erasure, retained financial records are pseudonymised so they cannot be linked back to the individual.
18.7. Enterprise customers whose ENYAL accounts include a Data Processing Agreement may request a corresponding DPA for JoulePAI transaction data processing. DPA requests should be directed to info@joulepai.ai.
19. Modifications
19.1. JoulePAI may modify these terms at any time. Material changes will be communicated with 30 days Written Notice.
19.2. Continued use of JoulePAI after the notice period constitutes acceptance of the modified terms.
19.3. Users who do not accept modified terms must cease using JoulePAI. Remaining joule balances are subject to Section 6.3.
20. Termination
20.1. Users may close their wallet at any time by contacting info@joulepai.ai. Any remaining joule balance is forfeited. Joules are non-refundable and non-redeemable.
20.2. JoulePAI may terminate any wallet or revoke any API access at its sole discretion, with or without cause. Where termination is without cause, JoulePAI will provide Written Notice.
20.3. Upon termination for violation of these terms, JoulePAI may freeze the joule balance for up to 90 days pending investigation. Joules subject to a valid claim may be permanently forfeited. Joules not subject to a valid claim will be returned to the user's wallet or a designated wallet nominated by the user within 5 business days of the investigation's conclusion. Users may enquire about investigation status at info@joulepai.ai.
21. Governing Law
21.1. These terms are governed by the laws of Ireland.
21.2. Any dispute not resolved under Section 17 shall be subject to the exclusive jurisdiction of the courts of Ireland.
22. Force Majeure
22.1. JoulePAI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: ledger infrastructure failures, zero-knowledge proof generation errors, third-party API outages (Stripe, ENYAL, ledger providers), natural disasters, war, terrorism, pandemics, power failures, internet disruptions, government actions, or regulatory changes.
22.2. In the event of a force majeure lasting more than 30 consecutive days, either party may terminate the relationship in accordance with Section 20.
23. Operational Continuity
23.1. In the event JoulePAI ceases operations, JoulePAI will provide a minimum of 90 days advance Written Notice to all users.
23.2. During the notice period, JoulePAI will use reasonable endeavours to enable users to spend their remaining joule balance on available services within the Greenland AI ecosystem. Joules are non-refundable and non-redeemable. Unspent balances at the end of the notice period are forfeited.
23.3. JoulePAI reserves the right to transfer its obligations, assets, and user accounts to a successor entity, provided the successor agrees to honour these terms or equivalent protections.
23.4. The double-entry ledger and all ledger anchors archived to ENYAL survive JoulePAI cessation and remain independently verifiable.
24. Entire Agreement, Survival, and Severability
24.1. These terms, together with the ENYAL Terms of Service (available at enyal.ai/terms) and the Privacy Policy at joulepai.ai/privacy, constitute the entire agreement between the user and JoulePAI regarding the use of the service. In the event of a conflict between these documents regarding JoulePAI wallet and transfer operations, these terms prevail.
24.2. The following sections survive termination of the user's wallet or these terms: Section 6 (Joule Credits, including non-refundability), Section 9 (Financial Integrity), Section 14 (Limitation of Liability), Section 15 (Indemnification), and Section 24 (Entire Agreement, Survival, and Severability).
24.3. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
24.4. JoulePAI's failure to enforce any provision of these terms does not constitute a waiver of that provision.
25. Accessibility
25.1. JoulePAI's platform is designed to comply with WCAG 2.1 AA accessibility standards. Users who encounter accessibility barriers may contact info@joulepai.ai for assistance.
