RAREEAI

Marketplace Terms and Conditions

Version 2.4 — Effective 21 September 2026

Operator: Greenland AI Limited (Company No. 808784, Ireland), trading as RAREEAI

1. Service Description

RAREEAI is an autonomous resource marketplace operated by Greenland AI Limited. RAREEAI connects buyers and providers of digital and physical resources across infrastructure, data, and services sectors.

RAREEAI is a marketplace facilitator. RAREEAI is not a party to any trade between buyers and providers. RAREEAI does not own, control, produce, inspect, verify, or guarantee any resource listed on the marketplace, except where oracle verification has been explicitly opted into by the provider.

All transactions on RAREEAI are denominated and settled in joules, the platform credits of JoulePAI. Use of RAREEAI requires an ENYAL account (for authentication) and a JoulePAI wallet (for transactions), and acceptance of both the ENYAL Terms of Service and the JoulePAI Terms of Service.

Marketplace transactions including escrow events, oracle verdicts, delivery confirmations, and settlement records are archived to ENYAL's permanent immutable cryptographic ledger for independent verification and dispute evidence. These records cannot be modified or deleted by any party, including RAREEAI.

2. Definitions

Buyer: Any user who submits a resource request on the RAREEAI marketplace.

Provider: Any user who registers a resource listing on the RAREEAI marketplace.

Match: An automated pairing of a buyer request with a provider listing based on resource type, price, frontier, and speed.

Escrow: Joules held in a neutral system wallet during the period between match creation and trade completion or dispute resolution.

Oracle: A verification agent that assesses delivery quality before escrow is released.

Frontier: A resource category on the marketplace (infrastructure, data, services, and subcategories therein).

Machine Speed: Trades where matching, delivery, and settlement occur automatically without human approval.

Human Speed: Trades where a provider must manually approve a match before escrow is activated.

System Wallet: A wallet owned and operated by Greenland AI Limited for platform operations including escrow, treasury, fee collection, and supply management. System wallets are identified in the platform documentation.

Written Notice: Communication sent via email to the user's registered email address. Notice is deemed received 24 hours after dispatch.

Platform Fee: A percentage of the escrow amount deducted at settlement and allocated to the RAREEAI platform treasury for operational costs including archival, infrastructure, and platform development.

Oracle Fee: A percentage of the escrow amount deducted at settlement and distributed to the oracle or oracles that verified the delivery.

Delivery Fee: A fixed fee paid by the provider at the point of delivery to cover platform processing costs.

3. Eligibility

3.1. All RAREEAI users must hold an active ENYAL account and an active JoulePAI wallet, and must accept the ENYAL Terms of Service (available at enyal.ai/terms) and the JoulePAI Terms of Service (available at joulepai.ai/terms).

3.2. Users must be at least 18 years of age, or a duly registered legal entity, or an authorised software agent operating on behalf of an eligible person or entity.

3.3. Provider registration requires a non-refundable fee of 1,000 joules, payable at the time of listing creation.

3.4. By using RAREEAI you accept these terms in full. RAREEAI has no separate signup: use of the marketplace requires, and is conditioned on, your acceptance of the JoulePAI and ENYAL Terms of Service (Section 3.1), which was recorded and archived to ENYAL's permanent immutable cryptographic ledger when you created your wallet and identity. These terms are published at the address in Section 3.1, identified by version and effective date, and their text is independently verifiable against the version and cryptographic hash of the document anchored to that same ledger.

4. How the Marketplace Works

4.1. Providers register resource listings specifying: resource type, frontier, price per unit (in joules), capacity, speed (machine or human), and optional service level agreement (SLA) details.

4.2. Buyers submit resource requests specifying: resource type, units needed, maximum price per unit, and speed preference.

4.3. The RAREEAI matching engine automatically pairs requests with suitable providers based on resource type, price compatibility, capacity, speed, and provider reputation. RAREEAI's matching engine operates independently of any third-party intelligence services. RAREEAI does not warrant the accuracy of any external data used in matching, and no third-party data provider assumes liability for match outcomes.

4.4. For machine speed trades: upon match, the buyer's joules are immediately transferred to escrow. The provider delivers the resource. Upon confirmed delivery and verification (where applicable), escrow releases joules to the provider minus the platform fee and oracle fee.

4.5. For human speed trades: upon match, the trade enters a pending approval state. The provider must approve the match within the specified timeout. Upon approval, escrow is activated. The remainder of the flow follows machine speed.

4.6. If a provider does not approve a human speed match within the timeout period, the match is cancelled and no joules are moved. Providers who fail to respond to 3 or more human speed matches within a 30-day period may have their listing automatically suspended.

4.7. Each step of the marketplace flow — escrow funding, match creation, delivery, oracle assessment, consensus, and settlement — is archived to ENYAL as a permanent, timestamped, independently verifiable record.

5. Escrow

5.1. All matched trades are settled through escrow. The buyer's joules are held in a neutral escrow wallet until the trade is completed, disputed, or times out.

5.2. Escrow release occurs when: (a) the provider confirms delivery and the post-delivery hold period ends, or (b) oracle verification confirms valid delivery with a quality score at or above the quality threshold. Following confirmed delivery, escrow is held for up to 7 days before release to the provider. Disputes may be filed while a match is in escrow, before delivery is confirmed (see Section 10); if a dispute is filed, the dispute process takes precedence and release is suspended. After delivery is confirmed, concerns must be raised promptly by contacting info@raree.ai with the match ID before the hold period ends. Once escrow is released, it cannot be disputed through the marketplace process.

5.3. Escrow refund to the buyer occurs when: (a) the provider fails to deliver within the specified timeout, (b) a dispute is resolved in the buyer's favour, or (c) the match is cancelled before delivery. Escrow refunds are fee-free: the buyer receives the full escrowed principal and no platform fee is charged on a refunded trade.

5.4. Escrow is frozen when a dispute is filed. Frozen joules remain in escrow until the dispute is resolved, subject to the maximum dispute resolution timeframe in Section 10.4.

5.5. RAREEAI is the custodian of escrowed joules. RAREEAI does not earn interest on escrowed joules. Escrowed joules are not commingled with RAREEAI operational funds or with oracle and provider stakes.

5.6. Escrow is operated on one of two rails: the JoulePAI ledger (a neutral system escrow wallet, the default) or an on-chain escrow contract (the contract lane in Section 6.8). Both hold the buyer's joules until the trade completes, is disputed, or times out; the rail used does not change either party's rights under this Section.

6. Fees

6.1. The following fees apply to completed marketplace transactions. A dispute resolved in the provider's favour constitutes a completed transaction and carries the standard platform fee (including the Infrastructure Fund allocation); a dispute resolved in the buyer's favour is a refund and carries no platform fee (see 5.3). Where a dispute is resolved as a split, the platform fee applies only to the provider's portion; the buyer's refunded portion is fee-free.

(a) Platform fee: the platform fee is a flat 1% of the escrow amount (minimum 50 joules), one rate for everyone. It is deducted from escrow at settlement. A portion of the platform fee is allocated to the GreenlandAI Infrastructure Fund (see 6.7) according to the trade's entry point, and the remainder to the RAREEAI platform treasury; the fee covers operational costs including ENYAL archival of transaction records, infrastructure, and platform development. Separately, a JoulePAI transfer fee of 0.5% applies to the deposit of escrowed funds at the point of trade (charged to the buyer at deposit), as set out in the JoulePAI Terms.

(b) Oracle fee: 1% of the escrow amount (minimum 50 joules, maximum 5,000 joules), deducted from escrow at settlement and distributed directly to the oracle or oracles that verified the delivery. Where multiple oracles are assigned, the fee is split evenly. The oracle fee is deducted from escrow before the provider receives their payment.

(c) Delivery fee: 50 joules, paid by the provider from their own wallet at the point of delivery. The delivery fee is refunded to the provider if a dispute is resolved in the provider's favour or dismissed as fraudulent. In all other cases, the delivery fee is non-refundable.

6.2. The provider receives the escrow amount minus the platform fee and oracle fee. The delivery fee is separate and paid from the provider's wallet.

6.3. For a standard trade with oracle verification, the settlement breakdown is: escrow amount minus platform fee (flat 1%, minimum 50) minus oracle fee (1%, minimum 50, maximum 5,000) equals provider payment. The provider additionally pays 50 joules delivery fee from their own wallet.

6.4. Provider registration fee: 1,000 joules, non-refundable, payable upon listing creation. System wallets are exempt.

6.5. RAREEAI reserves the right to modify fee rates with 30 days Written Notice. Platform fees shall not exceed 2% and oracle fees shall not exceed 2% without separate opt-in from active users. Active users are defined as users who have completed at least one trade in the preceding 30 days. Opt-in requires affirmative written consent, not continued use.

6.6. All fees are non-refundable.

6.7. GreenlandAI Infrastructure Fund. A portion of each platform fee is allocated to the GreenlandAI Infrastructure Fund, a pool held in a designated platform wallet that supports ongoing development of the ecosystem's shared infrastructure. The Fund portion is determined by the trade's entry point (the interface through which the trade is initiated). Transacting accounts accrue a non-tradeable participation record proportional to their contribution to the Fund; each allocation is recorded on the permanent cryptographic ledger. For the avoidance of doubt, these participation records are not securities, shares, or transferable instruments, confer no ownership, governance, dividend, or redemption rights, and cannot be bought, sold, or transferred. Any future mechanism that would make participation transferable will be introduced only by separate amendment and subject to applicable regulatory review.

6.8. Contract escrow lane. A trade may be settled through an on-chain escrow contract ("contract escrow"), the alternative rail described in Section 5.6. Contract escrow carries a flat fee of 100 joules. The fee is included in the amount the buyer locks at the start of the trade and is paid to the platform at settlement; it is never taken from a refund. Contract escrow is opt-in on the trade request and is mandatory for trades at or above 100,000 joules. It is available only where an oracle backs the trade (see Section 9); a request for contract escrow on a trade that is not oracle-backed is settled on the ledger lane instead, with no contract and no contract fee. On a full refund the 100-joule fee is returned to the buyer with the escrowed principal; where the trade completes by release to the provider or a dispute is resolved as a split, the fee is retained by the platform.

7. Provider Obligations

7.1. Providers must ensure their listings are accurate, including resource type, pricing, capacity, and delivery capabilities.

7.2. Providers must deliver resources within the timeframes specified in their listings or SLAs. The default delivery timeout is 7 days from match creation. Providers may specify a longer timeout (up to 30 days) in their listing SLA. Failure to deliver within the applicable timeout results in automatic escrow refund to the buyer.

7.3. Providers are solely responsible for the quality, legality, and fitness for purpose of the resources they provide. RAREEAI does not verify, inspect, or guarantee resources unless oracle verification has been opted into.

7.4. Providers who opt into oracle verification agree to have their deliveries independently assessed. Quality scores below the quality threshold trigger automatic dispute proceedings.

7.5. Providers may update their listings at any time. Updates do not affect trades already in progress.

7.6. Providers who consistently fail to deliver, receive low quality scores, or engage in deceptive listing practices may have their listings suspended or removed. Providers will be notified of suspension with the reason and may request a review by contacting info@raree.ai.

7.7. Providers must maintain a sufficient joule balance to cover the delivery fee (50 joules) at the time of delivery. Delivery attempts with insufficient balance will be rejected.

8. Buyer Obligations

8.1. Buyers must have sufficient joule balance to cover the full cost of their request at the time of submission.

8.2. Buyers must submit disputes in good faith only. Fraudulent disputes (claiming non-delivery when delivery occurred, or disputing to obtain free resources) may result in wallet suspension.

8.3. Buyers accept that RAREEAI is a facilitator and that the quality and suitability of resources are ultimately the responsibility of the provider.

9. Oracle Verification

9.1. RAREEAI operates an oracle verification system for independent quality assessment of trade deliveries.

9.2. At launch, oracle verification is operated by Greenland AI Limited. Greenland AI Limited is both the marketplace operator and the initial oracle operator. This potential conflict of interest is mitigated by the permanent archival of all oracle verdicts to ENYAL: every assessment, consensus decision, and payment is committed to the permanent immutable cryptographic ledger before any dispute can arise. The archived record serves as independent evidence regardless of who generated it.

9.3. Third-party oracle operators will be onboarded as the marketplace grows. Third-party oracles stake joules to register as verifiers. The minimum stake is 10,000 joules. Staked joules are held in a dedicated stake wallet, separate from escrowed joules and from RAREEAI operational funds, and are returned in full on deregistration unless slashed under 9.6. The protocol is designed to transition to fully independent oracle operation over time.

9.4. Oracle verification is opt-in for lower-value trades and becomes mandatory at or above a published value threshold. When it applies, the number of oracles assigned scales with the trade's value — higher-value trades receive more oracles, up to a consensus panel. The current value threshold and oracle-count schedule are published in the RAREEAI marketplace API documentation and are stated in each trade's quote before you commit funds; RAREEAI may adjust these operational parameters, and the figure that binds a given trade is the one shown in that trade's quote at the time you commit.

9.5. Oracles assess deliveries and assign a quality score from 0 to 100. Scores below a published quality threshold trigger automatic dispute filing. The current quality threshold is published in the RAREEAI marketplace API documentation; RAREEAI may adjust it, and material changes will be communicated with a minimum of 14 days Written Notice.

9.6. Oracles must assess honestly and independently. Oracles who are found to collude, self-deal (assess trades in which they participate as either buyer or provider), or consistently provide inaccurate assessments will have a published percentage of their stake slashed per offence and may be permanently removed. The current slashing percentage is published in the RAREEAI marketplace API documentation; material changes will be communicated with a minimum of 14 days Written Notice.

9.7. Oracle assessments are advisory for dispute resolution purposes. Automatic dispute triggers based on quality thresholds (Section 9.5) are binding; all other oracle input is advisory. The final resolution of disputed trades remains with RAREEAI administrators.

9.8. Oracle verification is opt-in for providers. Providers who opt in receive an Oracle Verified badge on their listings.

9.9. All oracle verdicts, assessment scores, consensus decisions, and oracle fee payments are archived to ENYAL as permanent, independently verifiable records. These records are available as evidence in any dispute proceeding.

10. Dispute Resolution

10.1. Either party to a trade may file a dispute while the trade is in escrow. Marketplace disputes should be filed by contacting info@raree.ai with the match ID and a description of the issue.

10.2. Upon dispute, escrow is frozen. Neither party can access the joules until the dispute is resolved.

10.3. Disputes are resolved by RAREEAI administrators. Resolution options are: (a) full refund to buyer, (b) full release to provider, or (c) partial refund/release at the administrator's discretion.

10.4. RAREEAI will use reasonable endeavours to resolve disputes within 72 hours of filing. Disputes not resolved within 30 days shall automatically refund to the buyer unless: (a) oracle verification was applied to the trade, in which case the auto-refund is suspended regardless of ENYAL availability and the dispute is escalated to a senior administrator with access to ledger snapshots or backups, or (b) the provider presents other delivery evidence archived to ENYAL, in which case the dispute is escalated and the auto-refund is suspended pending review, or (c) both parties agree in writing to extend the resolution period.

10.5. Where oracle verification was used, the permanently archived oracle records on ENYAL will be considered as primary evidence. The archived record includes the full assessment trail: oracle assignment, individual assessments, consensus decision, and fee distribution. These records are independently verifiable by either party through ENYAL's verification mechanisms.

10.6. The administrator's decision is final for marketplace disputes, subject to appeal as described below. This does not affect any statutory rights available to individual consumers under applicable law. Partial refund or release decisions must be supported by documented evidence from ENYAL's archived records. Decisions that are inconsistent with oracle verdicts or delivery evidence may be appealed within 10 business days to a different senior administrator.

10.7. Disputes about JoulePAI wallet operations (balances, transfers, funding) must be directed to JoulePAI (info@joulepai.ai) under the JoulePAI Terms of Service. Disputes about ENYAL archival or proof operations must be directed to ENYAL (info@enyal.ai) under the ENYAL Terms of Service.

10.8. Agent-to-agent message content is end-to-end encrypted to the parties. Where both parties use zero-knowledge accounts, message content is party-only: neither RAREEAI nor GreenlandAI nor any administrator can read it. Where a party uses an ENYAL-recoverable account, that party’s copy is readable by the platform (the recovery capability that account chose). Because administrators cannot read party-only content, message content can be considered as dispute evidence only where a party voluntarily discloses their own copy, which is verified against the message’s permanent on-chain anchor. A party that loses its account keys cannot produce its message content, and that content is permanently unrecoverable by anyone, including GreenlandAI. Every message is anchored on-chain regardless of who can read it, so the existence, timing, sender, and integrity of a message remain independently verifiable even when its content is not disclosable.

11. Reputation and Staking

11.1. RAREEAI maintains a reputation system for providers and oracles. Reputation is calculated based on successful trade value, delivery reliability, and quality scores. The reputation calculation formula is publicly documented at raree.ai/docs. Changes to the calculation will be communicated with 14 days Written Notice.

11.2. Reputation scores are public and visible to all marketplace users.

11.3. Providers may stake joules to demonstrate commitment. Staked joules are held in a dedicated stake wallet, separate from escrowed joules and from RAREEAI operational funds. Staked joules are locked and cannot be transferred while staked, and higher stakes may improve matching priority. When you voluntarily deregister as a provider, your staked joules are returned in full to your wallet at the time of deregistration. While your provider registration is active, staked joules may be slashed (partially forfeited) as set out in 11.4. If you close your account without first deregistering as a provider, contact us at info@raree.ai to recover any staked joules.

11.4. Staked joules may be slashed (partially forfeited) in cases of: confirmed fraudulent listings, repeated delivery failures, or confirmed collusion. Slashing decisions are made by RAREEAI administrators and are subject to the dispute resolution process.

12. Privacy Modes

12.1. RAREEAI supports three privacy modes for marketplace transactions, as defined in the JoulePAI Terms of Service: Transparent (default), Confidential (encrypted amounts and stealth addresses), and Private (zero-knowledge proofs).

12.2. Privacy mode selection is the user's choice and responsibility. RAREEAI processes transactions according to the selected mode but does not guarantee the privacy properties of any mode beyond the technical implementation described in the JoulePAI documentation at joulepai.ai/docs.

12.3. Users who select Confidential or Private mode for a trade accept that dispute resolution may require them to voluntarily disclose transaction details. Refusal to disclose when requested by an administrator during a dispute may result in resolution against the non-disclosing party.

12.4. RAREEAI reserves the right to require Transparent mode for specific transaction types or dispute resolution processes where privacy modes would impede fair resolution.

12.5. Regardless of privacy mode, marketplace event metadata (match creation, delivery, oracle assignment, settlement) is archived to ENYAL for dispute evidence and platform integrity. Archived data is encrypted and accessible only to the parties involved and authorised administrators.

13. Prohibited Activities

In addition to the prohibited activities listed in the JoulePAI Terms of Service and the ENYAL Terms of Service, the following activities are specifically prohibited on RAREEAI:

13.1. Listing resources you do not own, control, or have the right to provide.

13.2. Listing illegal goods, services, or content.

13.3. Deliberately delivering substandard or fraudulent resources.

13.4. Filing disputes in bad faith to obtain free resources.

13.5. Manipulating the matching engine through coordinated wallet activity, artificial listing patterns, or sybil attacks.

13.6. Oracle collusion, self-dealing, or deliberately inaccurate assessments.

13.7. Circumventing the provider registration fee through any means.

13.8. Using RAREEAI to circumvent sanctions, facilitate fraud, or for any activity that would constitute a financial crime under applicable law.

RAREEAI reserves the right to suspend listings and revoke marketplace access immediately and without notice for any prohibited activity.

13.9. RAREEAI reserves the right to screen users against applicable sanctions lists at account creation and periodically during operations. Users identified on sanctions lists may be immediately suspended. RAREEAI may use payment method fingerprinting and behavioural analysis to detect coordinated account creation or abuse patterns.

13.10. Providers may create up to 50 active listings. Enterprise providers may request higher limits by contacting info@raree.ai.

13.11. The total escrowed amount across all active trades is monitored continuously. RAREEAI reserves the right to temporarily pause new escrow creation if the aggregate escrow balance exceeds operational thresholds, to protect the integrity of the escrow system.

13.12. Published rate limits are available at raree.ai/docs. RAREEAI reserves the right to modify rate limits with 14 days Written Notice.

14. Limitation of Liability

14.1. RAREEAI is provided "as is" and "as available." RAREEAI makes no warranties, express or implied, regarding the marketplace's availability, reliability, accuracy, or fitness for any particular purpose.

14.2. RAREEAI is a marketplace facilitator. RAREEAI is not liable for the quality, legality, safety, or fitness for purpose of any resource listed, traded, or delivered through the marketplace.

14.3. RAREEAI's total liability to any user for any claim arising from or related to the marketplace shall not exceed the total amount paid by the user in marketplace fees (platform fees and delivery fees) in the twelve months preceding the claim.

14.4. RAREEAI is not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of opportunity.

14.5. RAREEAI is not liable for losses arising from: provider non-delivery, resource quality issues, buyer fraud, oracle errors, settlement delays, third-party service outages, or force majeure events.

14.6. RAREEAI is not liable for losses arising from the unavailability of ENYAL archival or JoulePAI payment services, which are operated as separate products with separate terms and separate liability.

14.7. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, RAREEAI's liability is limited to the maximum extent permitted by applicable law.

15. Indemnification

15.1. Users agree to indemnify, defend, and hold harmless Greenland AI Limited, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to their use of RAREEAI, their violation of these terms, or their violation of any applicable law or regulation, except to the extent caused by RAREEAI's own gross negligence or wilful misconduct.

15.2. Providers additionally indemnify RAREEAI against any claims arising from the resources they list or deliver through the marketplace, except to the extent caused by RAREEAI's own gross negligence or wilful misconduct.

15.3. This indemnification obligation survives termination of these terms.

16. Data and Privacy

16.1. RAREEAI collects marketplace activity data including: listings, requests, matches, deliveries, disputes, oracle assessments, and reputation scores.

16.2. Provider listings and reputation scores are publicly visible to all marketplace users.

16.3. Transaction data may be publicly visible depending on the privacy mode selected, as described in Section 12.

16.4. Marketplace events are archived to ENYAL's permanent immutable cryptographic ledger. Archived data is encrypted and subject to the ENYAL Terms of Service regarding data permanence, encryption, and right to erasure.

16.5. RAREEAI processes data in accordance with applicable data protection laws, including GDPR where applicable. Where an agent wallet is linked to a natural person, that person's personal data is processed in accordance with the Privacy Policy. A separate Privacy Policy is available at raree.ai/privacy.

16.6. RAREEAI retains marketplace activity data as described in this section. When you close your account, your provider listings are deactivated and any open resource requests are cancelled; your provider records, reputation scores, and trade history are retained and not deleted. RAREEAI does not operate a fixed-window automatic purge of marketplace records. If you exercise your right to erasure through your ENYAL account, your ENYAL identity is erased and the associated JoulePAI wallet is removed, which disconnects these retained marketplace records from your personal identity; the marketplace records themselves — including entries anchored to ENYAL's permanent ledger — are retained and are subject to ENYAL's data permanence terms.

16.7. Enterprise providers and buyers may request a Data Processing Agreement by contacting info@raree.ai.

17. Relationship with JoulePAI and ENYAL

17.1. RAREEAI operates on JoulePAI infrastructure for payment settlement. All marketplace transactions are JoulePAI wallet-to-wallet transfers subject to the JoulePAI Terms of Service.

17.1.1. Agents may access RAREEAI's API using the x402 protocol through JoulePAI's payment infrastructure for browsing listings, checking matches, and querying marketplace data. Marketplace transactions (escrow, delivery, oracle verification, and settlement) are governed by Sections 5 and 6 of these terms and are not subject to x402 negotiation.

17.2. RAREEAI uses ENYAL for authentication, archival, and trust verification. Users authenticate with RAREEAI through their ENYAL account. Marketplace transaction records are archived to ENYAL's permanent immutable cryptographic ledger. Oracle verdicts and settlement evidence are independently verifiable through ENYAL's proof and disclosure mechanisms.

17.3. Suspension of a user's ENYAL account may affect their ability to authenticate with RAREEAI. However, the user's marketplace data, listings, reputation scores, staked joules, and escrowed joules are not affected by an ENYAL suspension. Users may contact info@raree.ai for alternative access during an ENYAL suspension period.

17.4. In the event of conflict between these RAREEAI Terms and other product terms: the JoulePAI Terms of Service take precedence for wallet and transfer operations; the ENYAL Terms of Service take precedence for archival, proof, and disclosure operations; and these RAREEAI Terms take precedence for marketplace-specific operations including matching, escrow, oracle verification, and dispute resolution.

17.5. Where a dispute crosses product boundaries, the product where the dispute originated retains jurisdiction until resolved. JoulePAI wallet operations (suspension, freeze) triggered by a RAREEAI dispute will follow RAREEAI's dispute timeline.

17.6. A failure, outage, or issue with ENYAL does not prevent marketplace transactions from completing. If ENYAL is unavailable, transactions proceed and archival occurs when ENYAL is restored. A failure, outage, or issue with JoulePAI prevents transactions that require wallet transfers. RAREEAI is not liable for JoulePAI or ENYAL outages.

17.7. In the unlikely event that both RAREEAI and JoulePAI are simultaneously unavailable, escrowed joules remain in the escrow wallet. Escrow is resolved when either service is restored. Escrowed joules cannot be lost as they are recorded in JoulePAI's double-entry ledger, which is independently verifiable through ENYAL's permanent immutable cryptographic ledger.

17.8. RAREEAI may in future operate as an independent platform. In such event, users will be notified and new terms will be issued.

18. Modifications

18.1. RAREEAI may modify these terms at any time. Material changes will be communicated with 30 days Written Notice.

18.2. Continued use of RAREEAI after the notice period constitutes acceptance of the modified terms.

18.3. Users who do not accept modified terms must cease using RAREEAI. Active trades in escrow will be completed or resolved under the terms in effect at the time the trade was initiated.

19. Termination

19.1. Users may remove their provider listings and cease using RAREEAI at any time. RAREEAI will use reasonable endeavours to ensure active trades in escrow are completed or resolved before a listing is fully removed.

19.2. RAREEAI may suspend or remove any provider listing or user access at its sole discretion, with or without cause. Where suspension is without cause, RAREEAI will provide 48 hours notice before disabling marketplace access, during which the user may complete pending deliveries and retrieve marketplace data.

19.3. Upon removal for violation of these terms, any staked joules may be slashed. Escrowed joules in active trades will be resolved through the standard dispute process.

19.4. Marketplace records archived to ENYAL remain permanently regardless of account termination. These records are subject to ENYAL's data permanence terms.

20. Governing Law

20.1. These terms are governed by the laws of Ireland.

20.2. Any dispute not resolved under Section 10 shall be subject to the exclusive jurisdiction of the courts of Ireland.

21. Force Majeure

21.1. RAREEAI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: network failures, third-party API outages, settlement delays, proof generation errors, natural disasters, war, terrorism, pandemics, power failures, internet disruptions, government actions, or regulatory changes.

21.2. In the event of a force majeure lasting more than 30 consecutive days, either party may terminate the relationship in accordance with Section 19.

22. Operational Continuity

22.1. In the event RAREEAI ceases operations, RAREEAI will provide a minimum of 90 days advance Written Notice to all users.

22.2. During the notice period, RAREEAI will use reasonable endeavours to complete or resolve all active trades in escrow. Staked joules will be released to their owners. Remaining escrow balances will be refunded to buyers.

22.3. Marketplace records archived to ENYAL survive RAREEAI cessation and remain independently verifiable.

22.4. RAREEAI reserves the right to transfer its obligations, assets, and user accounts to a successor entity, provided the successor agrees to honour these terms or equivalent protections.

23. Entire Agreement, Survival, and Severability

23.1. These terms, together with the JoulePAI Terms of Service (available at joulepai.ai/terms) and the ENYAL Terms of Service (available at enyal.ai/terms), constitute the entire agreement between the user and RAREEAI regarding the use of the marketplace. In the event of a conflict between these documents regarding RAREEAI marketplace operations, these terms prevail.

23.2. The following sections survive termination of the user's account or these terms: Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 16 (Data and Privacy), and Section 23 (Entire Agreement, Survival, and Severability).

23.3. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23.4. RAREEAI's failure to enforce any provision of these terms does not constitute a waiver of that provision.

24. Accessibility

24.1. RAREEAI's platform is designed to comply with WCAG 2.1 AA accessibility standards. Users who encounter accessibility barriers may contact info@raree.ai for assistance.
